Wellan 2000 for Other Applications

Each of SWT and the PCC shall, if the contract so requires, be hereinafter referred to as a Party, or collectively, as the Parties

(A) SWT, as the authorized representative for Wellan 2000 worldwide products, wishes to expand its business activity in the fields of the supply of Domestic/Industrial water system & Oil systems (the products) in the existing business field areas of PCC.

(B) PCC is a consulting company operating in the territory of states like Egypt, Libya, Algeria, Mauritania, Kuwait, Bahrain, Qatar… and wants to cooperate with Sabreen Technology in order to promote the business of SWT in the named countries.

(C) The parties wish to enter into an agency agreement in respect to the promotion of the sales of the products of SWT in those territories at the terms and condition hereinafter agreed.

Now therefore, in consideration of their mutual covenants contained herein, the parties hereby agree as follows:

1. SCOPE OF THE AGREEMENT

Subject to the terms and conditions of this agreement, SWT hereby appoints PCC as its Agent for the named territories for the products specified above and PCC hereby accepts such appointment and engages itself to fulfill the duties and obligations describes in the agreement.

PCC shall devote its best efforts to procure the insertion of SWT in all the vendor lists of actual and prospective clients, and to have SWT pre-qualified for the main projects of domestic/industrial and oil systems to be developed in those territories.

2. EXCLUSIVITY AND NON-COMPETE

The agreement is intended to be exclusive* for the named territories.

In this agreement, SWT undertakes not to act directly or indirectly in the territories mentioned for the duration of the agreement, except for two exceptions for Egypt and Saudi Arabia (see point 3.). Furthermore, SWT undertakes to forward any inquiry, be it by telephone, Email or WhatsApp, which is made to SWT directly or indirectly from these territories to PCC in a timely manner.

In order to award exclusivity, PCC undertakes to guarantee a minimum purchase of the products per year. The minimum purchase quantity will be determined in a separate negotiation, which is part of this agreement.

3. PRODUCTS AND TERRITORY

Products are the Bio Signal water and oil treatment device Wellan 2000.

The Wellan 2000 is the “Original”!

Algeria – Wellan 2000 oil and water

Bahrain – Wellan 2000 oil and water

Cameroon – Wellan 2000 oil and water

Egypt – Wellan 2000 oil and water

(Except from the already built-in potential deals with Orascom in El Gouna and their projects or i.g. Steigenberger Hotel in Hurghada)

Equatorial Guinea – Wellan 2000 oil and water

Gabon – Wellan 2000 oil and water

Kuwait – Wellan 2000 oil and water

Libya – Wellan 2000 oil and water

Morocco – Wellan 2000 oil and water

Oman – Wellan 2000 oil and water

Saudi Arabia – Wellan 2000 oil and water

(Except from a deal that has already been initiated with a villa and pool builder and their projects)

Sudan – Wellan 2000 oil and water

South Sudan – Wellan 2000 oil and water

Uganda – Wellan 2000 oil and water

The following applies to the African countries listed: There is an exclusive agreement with a South African company that supplies hospitals with Wellan2000 systems for the autoclaves.

If there is an unforeseen overlap with this company as part of the joint ventures between PCC and SWT, both PCC and SWT cannot supply ring systems in this case. But this will not significantly affect the joint business ventures of PCC and SWT.

It does not involve a large amount and does not affect business from PCC and SWT.

4. PURCHASE – DELIVERY – PAYMENT – INFLATION GUARANTEE

PCC purchases the named products directly from SWT at the current price list, attached to this agreement. The sales prices for Wellan 2000 devices for 6″, 8″ and 10″ has already been communicated to PCC. Also the trading margin for PCC. These prices, as well as others for larger rings, will be handed over in a separate price list.

SWT delivers the products exclusively from Dubai (U.A.E.) directly to PCC and assumes no responsibility for forwarding the delivery to the specified territories. PCC bears the costs of delivery. SWT generally only delivers the ordered products against 100% advance payment to SWT’s account in Dubai (U.A.E.)

With regard to a possible devaluation of the euro and dollar due to the merger of the so-called BRICS+ countries, it is important for SWT to agree on a certain level of inflation compensation if a devaluation should take place.

5. Inflation guarantee!

The inflation of the payment amount in EUR/US $ must be hedged against the value of gold. That means for example (hypothetically):

On July 26, 2024 (contract signed) the value of 1 ounce of gold = EUR 2.186,38

If on January 31, 2025 the gold price rises by EUR 10% compared to the price on July 26, 2024, then PCC has to pay 10% more if PCC pays in Euro.

If on January 31, 2025 the price of gold against EUR did not rise or even fell compared to the price on July 26, 2024, PCC payment due will only be made in the original planned amount (EUR), as shown in the table (this is only an example!)

The same would apply to the US $.

6. CONFIDENTIALITY

The parties agree that the terms and conditions of the agreement are strictly confidential and cannot be disclosed to third parties without the prior written consent of the other party.

7. DURATION

This agreement is initially concluded for a term of three (3) years with the aim of extending it. For this purpose, both parties will contact each other approximately 14 days before the end of the current year agreed in this agreement.

8. TRUSTFUL COOPERATION

The further aim of this agreement is a fair, harmonious, trust-based, long-term cooperation in the manner of honest merchants without disturbing “side noises”.

In the event of a possible disagreement, both parties will endeavor to resolve it as quickly and easily as possible in a personal conversation.

9. POTENTIAL DISAGREEMENTS

This agreement shall be governed by, and construed in accordance with the law of Dubai

Should the Parties fail to reach an amicable settlement in case of a potential dispute arising out of, or in connection with this agreement, the parties agree that any such a dispute be settled by arbitration under rules of the chamber of arbitration of the international chamber of commerce of Dubai, by a sole arbitrator appointed to those rules.

The arbitration shall take place in Dubai in English language, and shall be settled according to the applicable law.

10. GENERELL PROVISIONS

The Parties acknowledge that each of the covenants set out in this agreement is fair, reasonable and necessary.

The parties have understood the content and expressly agree to it.

No additional agreements have been made to this agreement.

Ring sizes can currently be made up to a maximum of 72 inches.

All ring systems are absolutely maintenance-free.

Please note regarding pool using:

If a 50mm (1,5”) pipe exists and there is an opportunity to reduce a small piece (15 cm) of this pipe to 40mm ( ¼”), photo 2, or there is the opportunity to make a bypass, photo 1
there would be the same result with the pool water but saved money by using a smaller inch size with our system. The same is with 63mm (2″) to 50mm (1.5″). Or from 75mm 2.5″ to 63mm (2″)…..

For sizes, which are not in stock in Germany, the delivery time is approx.: 8-10 weeks.

Exclusivity for named countries

In the event that exclusivity is desired, i.e. that SWT will no longer contact anyone in these countries, the following minimum purchase quantities apply for one year for every country:

150 systems per year – no matter which model with an annual increase of 10%

Home and industrial water systems:

for one year with a 10% annual increase

Please note:

In many cases, several rings will be used in hotel complexes, hospitals or production facilities.

Either there are several lines there or rings have to be installed on the heaters, the cooling systems or condensers in addition to the main water line. See the reports in the references.

The savings effect over the next few years is nevertheless enormous.

In this way, a number of ring systems can quickly come together, so that these numbers are not exaggerated.
